ASSOCIATION GOVERNANCE 15 SPRING 2024 | ADVOCATE Proposed Amendments to AEA Constitution C-2024-01 Article III, Section 7 Rationale Compliance Review Reports state, " e NEA requires that all voting members of the AEA Board of Directors comply with the principle of one person one vote." Currently, active members are represented at a ratio of 1043:1, while AEA-Retired is represented at 2,100:1. is language would adhere to that principle. To Amend AEA Constitution as follows: Retired Directors Section 7. At the annual meeting of the Delegate Assembly, the retired delegates shall elect a Retired Director for and from the retired membership. One Retired Director shall be elected for every 2,500 retired members or portion thereof. Retired members shall be represented on the AEA Board at the same ratio as Active members. A retired Director shall be added when the Retired membership reaches 100% of the active representation. At no time shall there be more than three (3) Retired Directors. Retired membership shall be based upon the number of AEA-Retired members as of January 15. Elected Retired Director(s) shall be elected for a term of three (3) years or until their successors are chosen. In no case shall such retired members serve more than two (2) consecutive terms as a Retired Director. e Retired Director shall be elected in accordance with regulations set for election of the AEA Board of Directors. All members and potential members should have easy access to the Constitution and Bylaws so they can understand how AEA functions. To Amend AEA Constitution as follows: e most recently revised edition of Robert's Rules of Order Newly Revised shall be the parliamentary authority for all matters of procedure not speci cally covered by the Constitution and the Bylaws. THE CONSTITUTION AND BYLAWS SHALL REMAIN PUBLICLY POSTED ON THE AEA WEBSITE, AND WILL BE UPDATED BY STAFF AT LEAST WITHIN 7 DAYS OF ANY APPROVED CHANGES. To Amend AEA Constitution as follows: All meetings of AEA governing bodies, and committees shall be open to AEA members except those parts of meetings dealing with personnel items, negotiations with sta , professional rights and responsibilities items, and the lling of vacancies. A CALENDAR OF SUCH MEETINGS SHALL BE POSTED ON THE AEA WEBSITE. AGENDAS SHALL BE POSTED 24 HOURS PRIOR TO A MEETING. To Amend AEA Constitution as follows: AEA Constitution Article II, Section 4 2. Proposed addition, deletion, or change for item in Section 1: e Vice President shall perform such other duties as usually pertain to the o ce of Vice President. SOME DUTIES OF THE VICE PRESIDENT SHALL BE: TO SERVE AS AN OFFICIAL REPRESENTATIVE OF AEA, TO SERVE AS A VOTING MEMBER OF THE AEA BOARD OF DIRECTORS, TO SERVE AS VICE CHAIRPERSON OF THE AEA BOARD OF DIRECTORS, TO SERVE AS AN EX OFFICIO, NON-VOTING MEMBER OF ALL AEA COMMITTEES AND TASK FORCES, TO SERVE AS AN OFFICIAL MEMBER OF ANY AEA FINANCIAL COMMITTEE, TO SUBMIT AN ACCOUNTING IN WRITING OF THE ACTIVITIES OF THE VICE PRESIDENT TO THE AEA BOARD OF DIRECTORS AT EACH OF THEIR REGULARLY SCHEDULED MEETINGS, TO MEET WITH LOCAL LEADERS AND MEMBERS TO GATHER FEEDBACK AND EXPLAIN, PROMOTE, AND SECURE COMMITMENT TO AEA'S MISSION AND VISION, TO ATTEND STAFF, LEGISLATIVE, AND PROGRAM MEETINGS IF SERVING AS A FULL-TIME RELEASE OFFICER, AND SHALL ADVISE AND ASSIST THE AEA PRESIDENT. Submitted on behalf of Angela Philpot Proposed Amendment to AEA Bylaws B-2024-01 Article 1 Section 6k Rationale e AEA Foundation for Teaching & Learning is being dissolved. his bylaw will redirect the EMO funds, committed to the foundation to the AEA Fund for Public Education and the AEA Education Improvement and Defense Fund (EIDF). e EIDF will commit to supporting some of the work of the Foundation. Proposed Amendments AEA Bylaws Article - Membership State Dues Section 6. k. e Delegate Assembly shall establish and hereby does establish a permanent annual assessment, to be known as the Every Member Option, in the amount of $24.00. is amount shall be for all active- certi ed and active- educational support members working one-half time or more. ose active-certi ed and active-educational support professional members working less than one-half time shall have an Every Member Option rate of $12.00. All a ected members shall have the option to opt out of paying the assessment at the beginning of each membership year. Monies collected through the Every Member Option assessment shall be divided $5.00 for AEA Foundation for Teaching & Learning, $4.00 $7.00 for the AEA Fund for Public Education, and $15.00 $17 for the AEA Education Improvement and Defense Fund. Monies collected through the Every Member Option assessment for those members paying the $12.00 amount shall be divided $2.50 for AEA Foundation for Teaching & Learning, $2.00 $3.50 for the AEA Fund for Public Education, and $7.50 $8.50 for the AEA Education Improvement and Defense Fund. Submitted on behalf of AEA Board of Directors B-2024-02 Article I, Section 7 Rationale Our governing documents need clear de nitions to ensure the rights of our members and the processes in our governing documents of our union are not being violated. Proposed Amendments AEA Bylaws e Board of Directors may censure, suspend, or terminate the membership of a member from the Association for good and just cause. AN ACT OF CENSURE MEANS TO WRITE A FORMAL STATEMENT OF DISAPPROVAL OF ONE'S ACTIONS. AN ACT OF SUSPENSION MEANS TO TEMPORARILY REMOVE RESPONSIBILITIES AND/OR PRIVILEGES. AN ACT OF TERMINATION MEANS TO END THE MEMBERSHIP OF A MEMBER INDEFINITELY. ONLY THE AEA BOARD OF DIRECTORS AND/OR THE AEA DELEGATE ASSEMBLY SHALL HAVE THE AUTHORITY TO CENSURE, SUSPEND, OR TERMINATE THE MEMBERSHIP OF A MEMBER.
