ASSOCIATION GOVERNANCE 10 SPRING 2026 | ADVOCATE C-2026-01 Article III, Section 5 Rationale is amendment clarifies that only full three-year terms count toward the two-term limit and ensures partial terms—such as completing 18 months or less of a vacancy—do not count. It promotes fairness, encourages members to fill vacancies, and preserves the original intent of term limits. To Amend the AEA Constitution as follows: "Section 5. At each annual meeting of the Delegate Assembly, the delegates shall elect Regional Directors and one Alternate Director for each region as needed from the membership of the Association as designated in Section 6 below; the Alternate Directors must be elected in accordance with regulations set for election of AEA Directors. Elected Regional Directors shall serve for a term of three (3) years or until their successors are elected. In no case shall such members serve more than two (2) consecutive terms as a Director or Alternate Director. ONLY FULL THREE (3) YEAR TERMS SHALL BE COUNTED TOWARDS THE TERM LIMIT. ANY PARTIAL TERM—SERVED AS A RESULT OF REGIONAL REDISTRICTING, REALIGNMENT, REASSIGNMENT TO ANOTHER REGION, OR FULFILLMENT OF A VACANCY—SHALL NOT BE COUNTED AS ONE OF THE TWO CONSECUTIVE TERMS. FOR EXAMPLE, IF A MEMBER IS APPOINTED OR ELECTED TO COMPLETE A TERM LASTING TWELVE (18) MONTHS OR LESS, THAT LESS THE SERVICE SHALL BE CONSIDERED A PARTIAL TERM AND SHALL NOT COUNT TOWARD THE TWO-TERM LIMIT. Alternate Directors shall serve for a term of three (3) years UNDER THE SAME TERM LIMITATIONS AND EXCEPTIONS DESCRIBED AS ABOVE..." Submitted on behalf of Felisa Alberts C-2026-02 Article III, Section 10 Rationale AEA has had this position in our governing documents, but have not held an election for this class of membership in recent years. is change will clarify language allowing for fair representation as other classes of membership and keep long-time members who are moving upwards in their education careers. [In the event that the number of active supervisor/ administrator members of the Board of Directors shall be less than the percentage of active supervisor/administrator members of the membership of the Association, t e Delegate Assembly shall nominate and elect additional members-at-large of the Board as needed to ensure that supervisor/administrator representation. If an At-Large d Director may be IS needed for this category of membership, the Delegate Assembly shall also nominate and elect one SUPERVISOR/ ADMINISTRATOR DIRECTOR AND ONE Alternate SUPERVISOR/ ADMINISTRATOR AT-LARGE Director for this category of membership. ONLY SUPERVISOR/ADMINISTRATOR MEMBERS SHALL ELECT A SUPERVISOR/ADMINISTRATOR AT-LARGE DIRECTOR AND SUPERVISOR/ADMINISTRATOR AT-LARGE ALTERNATE DIRECTOR FOR AND FROM THE SUPERVISOR/ ADMINISTRATOR MEMBERSHIP. ONE SUPERVISOR/ADMINISTRATOR AT-LARGE DIRECTOR SHALL BE ELECTED FOR EVERY 1,000 SUPERVISOR/ ADMINISTRATOR MEMBERS OR PORTION THEREOF. Submitted on behalf of Angela Philpot C-2026-03 Article III, Section 11 (NEW Section) Rationale Our higher education members have different challenges and issues than our K-12 members. In order for their valuable feedback and input to be taken into account for the decisions made by AEA, this position should be added to our AEA Board of Directors.
